Terms and Conditions of Prenuvo Education Program UK
This Clinician Education Program Agreement ("Agreement") is entered into between Prenuvo UK Limited ("Prenuvo") and the participating clinician ("Clinician") for participation in Prenuvo's Clinician Education Program ("Program").
1. PROGRAM OVERVIEW AND PURPOSE
1.1 Educational Purpose. The Program offers complimentary whole-body MRI screening services to suitable clinicians to enable clinicians to gain firsthand experience of the Prenuvo MRI screening and results process, thereby facilitating informed clinical decision-making for their patients.
1.2 Program Modification. Prenuvo reserves the right to amend, modify, or discontinue any element of the Program at any time in its sole discretion.
1.3 Provision of MRI Services. Acceptance of this Agreement does not place any obligation on Prenuvo to provide any complimentary scan. MRI screening services are provided subject to Prenuvo’s standard terms and conditions for MRI services.
2. CLINICIAN OBLIGATIONS AND REQUIREMENTS
2.1 Educational Requirements. Prior to receiving the complimentary MRI scan, Clinician must: (a) view the designated educational content regarding whole-body MRI screening provided by Prenuvo; (b) execute a written attestation confirming completion of the educational content; and (c) complete all required intake paperwork and documentation.
2.2 Post-Scan Requirements. Following the MRI scan, Clinician shall: (a) Participate in a question-and-answer session with designated Prenuvo staff members, if requested; and (b) Provide feedback regarding the educational experience when requested by Prenuvo.
2.3 Professional Standards Compliance. Clinician acknowledges and agrees that: (a) they are subject to and bound by all applicable professional regulatory requirements, including but not limited to GMC professional rules and standards; (b) they must consider the potential impact of agreeing to accept a complimentary MRI scan on their professional responsibilities; (c) any acceptance must not affect, influence, or be perceived to affect the manner in which Clinician proposes, provides, advises on or prescribes treatments, refers patients, or commissions services for patients; and (d) clinician shall comply with all professional disclosure obligations as set forth in Section 3 below.
3. DISCLOSURE OBLIGATIONS
3.1 Patient Disclosure Requirement. Clinician agrees and undertakes to disclose to all patients, in accordance with applicable professional rules and standards, that Clinician has received a complimentary MRI scan from Prenuvo. Such disclosure must be made: (a) prior to any discussion, recommendation, or referral relating to whole-body MRI screening services; (b) in a clear and comprehensible manner that enables patients to understand any potential financial incentive or conflict of interest; and (c) in compliance with all applicable professional regulatory requirements regarding disclosure of financial relationships.
3.2 Documentation of Disclosure. Clinician shall maintain appropriate records documenting compliance with the disclosure requirements set forth herein.
4. FRAUD AND ABUSE COMPLIANCE
4.1 No Expectation of Referrals. Clinician participation in the Program is not contingent upon, and does not create any obligation for, Clinician to recommend, refer, or otherwise influence any patient or other person to utilize Prenuvo's services.
4.2 No Remuneration for Referrals. The complimentary scan is provided solely for educational purposes. Clinician will not receive compensation or any other form of remuneration for any future referral or recommendation of patients to Prenuvo's services. Participation in the Program is offered to all qualified clinicians regardless of the volume or value of any referrals or other business generated.
4.3. No Obligation to Accept Referrals. Prenuvo retains the right not to accept referrals from the Clinician if it determines in its sole discretion that such referral is not in the best interests of the patient including where the referral is not deemed clinically appropriate or safe based on the patient’s medical intake form.
4.4 Non-Transferable Benefit. The complimentary scan is non-transferable and not eligible to be traded for cash or cash equivalents.
5. VOLUNTARY PARTICIPATION
5.1 Voluntary Basis. Clinician participation in the Program is entirely voluntary. Clinician may withdraw from the Program at any time prior to receiving the complimentary scan without penalty or consequence.
6. GENERAL PROVISIONS
6.1 Compliance with Terms. Participation in the Program is subject to Clinician's completion of all requirements set forth herein.
6.2 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
6.3 Severability. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
6.4 Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the Program and supersedes all prior negotiations, representations, or agreements relating to the subject matter hereof.
